1. Agreement to Terms

By accessing or using the Upscale Flow AI website (upscaleflow.ai) and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Services

Upscale Flow AI provides AI automation consulting, development, and implementation services including but not limited to: AI workflow automation, chatbot development, lead generation systems, content automation, AI strategy consulting, and custom AI solutions.

The specific scope, deliverables, timeline, and pricing for each project are defined in individual project proposals or agreements provided before work begins.

3. Strategy Calls

We offer free 30-minute strategy calls to discuss your business needs. These calls are consultative in nature and do not constitute a binding agreement to purchase services. Scheduling a call does not obligate either party to proceed with a project.

4. Project Agreements

All paid engagements are governed by individual project proposals that specify:

• Scope of work and deliverables
• Timeline and milestones
• Pricing and payment schedule
• Revision and feedback process
• Post-launch support terms

Work begins only after both parties agree to the project proposal and initial payment is received.

5. Payment Terms

Payment terms are specified in each project proposal. Typical terms include a deposit before work begins and remaining balance upon delivery. Late payments may result in project delays or suspension of services.

6. Intellectual Property

Your content: You retain ownership of all content, data, and materials you provide to us for the project.

Deliverables: Upon full payment, you receive ownership of the custom systems, workflows, and configurations built specifically for your project. We retain the right to use general methodologies, techniques, and non-proprietary components in other projects.

Third-party tools: Our solutions often integrate third-party platforms (n8n, Make, OpenAI, etc.). Your use of these platforms is subject to their respective terms of service and licensing.

7. Confidentiality

We treat all client information, business data, and project details as confidential. We will not share your information with third parties except as necessary to deliver the agreed-upon services.

8. Limitation of Liability

Upscale Flow AI provides AI automation services to the best of our professional ability. However:

• We do not guarantee specific business results (revenue increases, lead numbers, etc.)
• We are not liable for issues caused by third-party platforms, API changes, or service outages outside our control
• Our total liability for any claim related to our services shall not exceed the amount paid for the specific project in question

9. Chatbot & Website Interactions

Our website includes an AI-powered chatbot that provides general information about our services. Chatbot responses are informational and do not constitute professional advice or binding commitments.

10. Termination

Either party may terminate a project engagement with written notice. In the event of termination, payment is due for all work completed up to the termination date. Pre-paid amounts for undelivered work will be refunded on a pro-rata basis.

11. Governing Law

These terms are governed by the laws of the Federal Republic of Germany. Any disputes shall be resolved in the courts of Hannover, Germany.

12. Changes to Terms

We reserve the right to update these terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our website after changes constitutes acceptance of the new terms.
